WHERE YOU COME IN

Vitable Health is adding a Head of Compliance to lead all compliance functions related to the Company's self-funded health plan business. This individual will be responsible for ensuring regulatory compliance across plan administration, regulatory filings, marketing and sales materials, and third-party vendor relationships, including third-party administrators (TPAs), pharmacy benefit managers (PBMs), and insurance carriers. This is a foundational hire responsible for both executing compliance operations directly and establishing the compliance infrastructure to support the Company's growth. This person will partner closely with outside ERISA/benefits counsel on complex filings and regulatory matters — they are the owner of day-to-day compliance execution, not a substitute for legal counsel.

YOUR DAY TO DAY

Self-Funded Plan Compliance Ensure that all self-funded health plans administered by the Company comply with applicable federal and state regulations, including but not limited to ERISA, the Affordable Care Act (ACA), HIPAA, COBRA, and the Mental Health Parity and Addiction Equity Act (MHPAEA) — including maintaining the required NQTL comparative analysis documentation.

Regulatory Filings Manage and execute regulatory filings on behalf of customers and plan sponsors, including Summary Plan Descriptions (SPDs), Form 5500 filings, PCORI fee filings, plan documents, and other state and federal filings required in connection with TPA operations.

Marketing and Sales Material Review Review and approve all customer-facing marketing, sales, and enrollment materials to ensure regulatory compliance prior to publication or distribution.

Vendor and Partner Compliance Oversight Act as the primary compliance liaison with TPA partners, PBMs, stop-loss carriers, fully insured carriers, and other third-party vendors. Ensure that vendor contracts, data handling practices, and operational processes meet applicable compliance standards, including PBM data reporting obligations (e.g., RxDC) and TPA state licensure/registration requirements.

Regulatory Monitoring Monitor developments in federal and state health plan regulation, including guidance issued by state Departments of Insurance and the Department of Labor, and translate regulatory changes into operational requirements across the organization.

Audit and Examination Readiness Serve as the primary point of contact for regulatory inquiries, audits, and customer due-diligence requests. Maintain documentation and internal controls sufficient to withstand regulatory examination and investor or acquirer due diligence.

Policy Development and Training Develop, implement, and maintain internal compliance policies and procedures. Provide compliance training to personnel involved in plan administration, sales, and customer data handling. Serve as the Company's designated HIPAA Privacy and Security Officer.

WHAT YOU'RE MADE OF

- Must have 5+ years of progressive compliance experience within a self-funded health plan, third-party administrator (TPA), managing general agency/underwriter (MGA/MGU), or stop-loss carrier environment.

- Demonstrated experience managing compliance relationships with stop-loss carriers, PBMs, and TPA partners — including negotiating compliance-relevant contract terms (audit rights, data handling, indemnification).

- Direct, hands-on experience preparing and filing SPDs, Form 5500, and PCORI fees, and responding to DOL/IRS correspondence.

- Working knowledge of MHPAEA NQTL comparative analysis requirements and current DOL enforcement priorities for self-funded plans.

- Familiarity with state TPA licensing/registration requirements and experience corresponding directly with state Departments of Insurance.

- Demonstrated ability to build and operate a compliance function independently — policies, training, documentation, audit readiness — without reliance on an established internal team for day-to-day execution.

- Comfortable knowing the boundary between what to handle directly and what to escalate to outside ERISA/benefits counsel, and experience working effectively with outside counsel on complex filings and regulatory questions.

- Experience with ICHRA, level-funded, or MEC/MVP plan structures preferred.

- CHC, CEBS, or JD with a health benefits/ERISA focus preferred, not required.

WHAT SUCCESS LOOKS LIKE

Within the first year, the Head of Compliance will have established audit-ready compliance documentation — including a current MHPAEA NQTL comparative analysis — across all administered plans, implemented a defined review process for marketing and sales materials, formalized vendor compliance monitoring (including PBM RxDC reporting and TPA licensure status by state), and positioned the Company to produce a complete compliance package on demand for customer, regulatory, or investor review.
